John Wiley & Sons, Inc. reported that its shareholders ratified the selection of PricewaterhouseCoopers LLP as the company's independent registered public accounting firm for the fiscal year ending April 30, 2027. The company filed a Form 8-K with the U.S. Securities and Exchange Commission on September 24, 2026, detailing the outcomes of its annual meeting of shareholders held on that date. Both Class A and Class B common stockholders voted together on the proposal, which received 12,629,387 votes in favor, 1,027 against, and 5,468 abstentions.

The shareholder vote also covered the election of directors, with Class A and Class B holders voting as separate classes. All nominees were elected to serve until the 2027 annual meeting or until their successors are elected and qualified. For the Class A common stock, Katya D. Andresen received 30,482,768 "for" votes and 7,832,553 "withheld" votes, while Karen N. Madden received 30,487,226 "for" votes and 7,828,095 "withheld" votes. David C. Dobson received 23,486,157 "for" votes and 14,829,164 "withheld" votes. Each Class A nominee also faced 1,821,788 broker non-votes.

Among Class B common stockholders, Jesse C. Wiley received the highest number of "for" votes at 8,478,624, with 50,369 "withheld" votes. Inder M. Singh and Raymond W. McDaniel Jr. each received 8,478,677 "for" votes and 50,316 "withheld" votes. Matthew S. Kissner received 8,498,858 "for" votes and 30,135 "withheld" votes. Brian O. Hemphill received 8,453,634 "for" votes and 75,359 "withheld" votes, while William J. Pesce received 8,400,627 "for" votes and 128,366 "withheld" votes. Each Class B nominee also faced 93,178 broker non-votes.

Shareholders also cast a non-binding advisory vote on the compensation of named executive officers. The proposal was approved with 12,265,920 votes in favor and 90,715 against. There were 3,890 abstentions and 275,357 broker non-votes on this measure.

The filing noted that as of the close of business on the record date of July 31, 2026, the company had 42,005,091 shares of Class A common stock and 8,758,499 shares of Class B common stock issued and outstanding. At the annual meeting, 40,137,109 Class A shares represented 95.5% of the outstanding total were present in person or by proxy. Similarly, 8,622,171 Class B shares represented 98.4% of the outstanding total were present.
