TechPrecision Corporation stockholders approved an amendment to the company's 2016 Equity Incentive Plan during the annual meeting held on September 29, 2026. The approval allows for the issuance of an additional 750,000 shares of common stock under the plan and extends its expiration date to September 29, 2036. The move was part of a broader set of proposals submitted to investors, with the plan amendment receiving 3,388,818 votes in favor and 401,137 against.

The board of directors adopted the amendment and restatement of the plan on September 2, 2026, subject to shareholder approval. TechPrecision, which trades on the Nasdaq Capital Market under the ticker TPCS, detailed the changes in its proxy statement filed with the Securities and Exchange Commission. The amended plan increases the authorized share pool to provide flexibility for future equity grants to employees and directors.

Alongside the plan approval, stockholders ratified CBIZ CPAs P.C. as the independent registered public accounting firm for the fiscal year ending March 31, 2027. This proposal passed with 6,505,347 votes in favor and 192,188 against. Investors also approved the compensation of the company's Named Executive Officers on an advisory basis, with 3,502,890 votes cast in favor and 311,496 against.

The annual meeting also served as the venue for electing a new slate of directors for one-year terms expiring at the 2027 annual meeting. All five nominees were elected by their respective vote totals:

  • Andrew A. Levy: 2,298,408 for
  • General Victor E. Renuart Jr. (Ret.): 3,903,999 for
  • Walter M. Schenker: 2,123,132 for
  • Alexander Shen: 2,691,374 for
  • Robert D. Straus: 3,584,548 for

A total of 10,133,261 shares were entitled to vote as of the August 27, 2026 record date. Of these, 6,783,109 shares were present in person or by proxy at the meeting. The filing was signed by Phillip E. Podgorski, the company's chief financial officer, on September 29, 2026.
