Peter Radovich has been appointed as a director of MBX Biosciences, Inc. (Nasdaq: MBX), effective October 20, 2026. The board of directors made the appointment upon the recommendation of the Nominating and Corporate Governance Committee, determining that Radovich is independent under The Nasdaq Stock Market listing standards.

The board set its size at eight directors in connection with the appointment. Radovich has been designated as a Class I director, a classification that aligns with the company's amended and restated by-laws. Under this structure, he will serve until the company's 2028 Annual Meeting of Stockholders. His term will continue thereafter until a successor is duly elected and qualified, or until his earlier death, removal, or resignation.

As part of his appointment as a non-employee director, Radovich will receive compensation structured in accordance with the company's Non-Employee Director Compensation Policy. This policy was amended in March 2026 and previously described in MBX Biosciences' Annual Proxy Statement for the period ending December 31, 2025, which was filed with the Securities and Exchange Commission on April 22, 2026.

The compensation package includes an initial award of a non-qualified stock option to purchase 18,200 shares of the company's common stock. This option is scheduled to be granted on the appointment date of October 20, 2026. In addition to the equity award, Radovich will receive cash compensation for his board service as outlined in the aforementioned policy.

The company is also entering into an indemnification agreement with Radovich, which mirrors the form used for its other directors. The filing states that there are no arrangements or understandings between Radovich and any other persons regarding his selection as a director. Furthermore, there are no transactions in which Radovich has an interest that require disclosure under Item 404(a) of Regulation S-K.

MBX Biosciences filed this current report on Form 8-K with the Securities and Exchange Commission on October 22, 2026. The document was signed by Steven L. Hoerter, President and Chief Executive Officer. The company is incorporated in Delaware and maintains its principal executive offices in Carmel, Indiana.
