Gourmet Foods Limited, a wholly owned subsidiary of The Marygold Companies, Inc. (NYSE American: MGLD), has entered into a definitive agreement to sell its Printstock Products Limited business unit to TAG Investments Limited. The cash transaction is valued at a minimum of NZ$2,450,000, with final proceeds to be determined at closing. The deal is structured as an asset sale and is expected to close on or about November 20, 2026, subject to customary conditions including due diligence, lease assignment, and inventory valuations.
Printstock, based in Napier, New Zealand, operates as a digital printer for custom food packaging primarily distributed within New Zealand. The sale aligns with the company's strategic focus on its financial services sector, which currently accounts for more than half of its consolidated revenues. Nicholas Gerber, Chief Executive Officer of The Marygold Companies, stated that the transaction reflects the success of the original investment and is expected to result in a gain on the sale. He noted that Printstock has been a well-run operation that brought value to shareholders during the ownership period.
Gourmet Foods Limited, acquired by The Marygold Companies in 2015, is a commercial-scale bakery producing meat pies and pastries under the Pat’s Pantry and Ponsonby Pies brands. The bakery purchased Printstock Products in 2020 at the onset of the COVID-19 pandemic to utilize its printing capacity for wrapping products in compliance with government health regulations. Gourmet Foods is currently reported on the company's consolidated financial statements as discontinued operations due to its status as an entity held for sale. The company stated that Gourmet Foods will continue operating normally as a going concern with full support from The Marygold Companies while new ownership is sought.
