GBank Financial Holdings Inc. disclosed in an 8-K filing on October 16, 2026, that Olivia M. Caley stepped down from her roles as interim principal financial and accounting officer, as well as her senior executive positions at the company and its subsidiary GBank. The resignation became effective on October 13, 2026. The board of directors is currently searching for a permanent Chief Financial Officer to assume these duties.

To bridge the gap, the board designated Jeffrey Newgard as the interim principal financial officer effective October 13, 2026. Newgard, who serves as President and Chief Executive Officer of GBank, assumed that leadership role on June 8, 2026. Prior to joining GBank, he led Bank of Idaho as Chairman, President and Chief Executive Officer starting in July 2015. His earlier career includes executive roles at HomeStreet Bank and Yakima National Bank. Newgard holds a Bachelor of Arts from Walla Walla College and a Master of Business Administration from Washington State University.

Christine Nelson was also designated as the interim principal accounting officer on the same effective date. Nelson serves as Senior Vice President and Controller of GBank, a position she has held since April 2025. Before that appointment, she served as Vice President and Director of Accounting for the bank from September 2022 through April 2025. Her previous experience includes a role as Senior Vice President and Controller at a bank in Atlanta, Georgia. Nelson earned a Bachelor of Arts degree from Southern Connecticut State University.

The filing confirms that neither Newgard nor Nelson has family relationships with the company's current directors or executive officers. The document states that no arrangements or understandings exist with other persons regarding their appointments to these interim roles. Additionally, neither individual holds a direct or indirect material interest in any transaction requiring disclosure under Item 404(a) of Regulation S-K.

GBank Financial Holdings Inc., incorporated in Nevada, trades on The Nasdaq Stock Market LLC under the symbol GBFH. The company identified itself as an emerging growth company in the filing. Edward M. Nigro, Executive Chairman and Chief Executive Officer, signed the report on behalf of the registrant.
