Construction Partners, Inc. (NASDAQ: ROAD) has completed the acquisition of S.E. Cline Construction, Inc., a commercial site development and underground utility construction company based in Palm Coast, Florida. The transaction, announced on October 5, 2026, integrates Cline Construction into the company's existing Florida platform, C.W. Roberts Contracting, Incorporated (CWR), marking the latest step in its expansion along the state's Interstate 95 corridor.

The acquired operations include approximately 60 employees and a rail-served, permitted hot-mix asphalt plant site in Bunnell, Florida. Cline Construction provides site development and underground utility services for public and private projects throughout northeast and central Florida. By adding these capabilities to CWR's existing asphalt paving and construction operations in the greater Daytona Beach market, Construction Partners aims to enhance its ability to serve infrastructure customers across the region.

Fred J. (Jule) Smith, III, President and Chief Executive Officer of Construction Partners, stated that the deal welcomes Scott Sowers and the Cline Construction team to the company. Smith noted that this acquisition builds upon the firm's purchase of P&S Paving, Inc. in Daytona Beach last year. According to Smith, the move strengthens CWR's presence in a rapidly growing portion of Florida. He described Cline Construction's site development and underground utility capabilities as strongly complementary to CWR's current operations. Smith also identified the rail-served asphalt plant site in Bunnell as an attractive opportunity for future vertical integration and organic growth as the company continues to expand along Florida's east coast.

Construction Partners is a vertically integrated civil infrastructure company operating in local markets across the Sunbelt, including Alabama, Florida, Georgia, North Carolina, Oklahoma, South Carolina, Tennessee, and Texas. The company utilizes its hot-mix asphalt plants, aggregate facilities, and liquid asphalt terminals to focus on the construction, repair, and maintenance of surface infrastructure. Publicly funded projects constitute the majority of its business, encompassing local and state roadways, interstate highways, airport runways, and bridges. The firm also undertakes private sector projects such as paving and sitework for office and industrial parks, shopping centers, local businesses, and residential developments.

The press release includes cautionary notes regarding forward-looking statements under Section 27A of the Securities Act of 1933 and Section 21E of the Securities Exchange Act of 1934. These statements include discussions of the benefits of the business acquisition and expected results of the acquired business.
