BancFirst Corporation completed the acquisition of Spirit BankCorp, Inc. and its subsidiary SpiritBank on October 22, 2026, as disclosed in a Form 8-K filed with the Securities and Exchange Commission. The Oklahoma-based bank, which trades on the Nasdaq Global Select Market under the ticker BANF, integrated the privately held community bank into its existing structure upon closing.

The transaction adds approximately $866.8 million in total assets to BancFirst's balance sheet. SpiritBank also contributed $584.6 million in loans and $776.4 million in deposits to the combined institution. The acquired entity was headquartered in Tulsa, Oklahoma, and operated as a community bank prior to the merger.

SpiritBank maintained a physical footprint of six locations within the state of Oklahoma. These included four branches in Tulsa, one in Sapulpa, and one in Bristow. By merging SpiritBank directly into BancFirst, the acquirer absorbed these banking locations and their associated customer relationships.

BancFirst, headquartered at 100 N. Broadway Ave. in Oklahoma City, Oklahoma, reported the transaction under Item 7.01 of the Form 8-K for Regulation FD disclosure purposes. The filing was signed by Hannah Andrus, Executive Vice President and Chief Financial Officer of BancFirst Corporation, on October 23, 2026. The company identified itself as an Oklahoma corporation with Commission File Number 0-14384 and IRS Employer Identification Number 73-1221379.
