VisionWave Holdings, Inc. (Nasdaq: VWAV) has countersigned a purchase order for 200 STRATUM VARAN heavy wheeled unmanned ground vehicles from Metal Machinery Components Trading FZCO, a Dubai-based trading company. The aggregate base purchase price is $20 million, but the company emphasized that its obligations to commence production or make deliveries are subject to conditions that have not yet been satisfied.

The purchase order represents a significant commercial milestone for the company's unmanned ground vehicle platform. However, the customer is not the end user and has advised VisionWave that it may act on behalf of multiple prospective end users. Each of these end users must be disclosed to and approved by VisionWave before the transaction can proceed. The company stated that it has not recognized any revenue in respect of the purchase order and does not include the order in its current backlog.

VisionWave outlined several conditions that must be met or waived in writing before performance obligations arise. These include the delivery of documentary proof of immediately available funds or committed financing sufficient to cover the full order value. Additionally, the parties must agree on the terms of an advance-payment bank guarantee, including its form, issuing bank, expiry, and draw conditions. The customer must then provide a $2 million advance payment, representing 10% of the order value, in cleared funds. As of the announcement date, the terms of this bank guarantee had not been agreed upon, and VisionWave had not received any payment.

Regulatory compliance is another critical hurdle. The company must receive all required export licenses, authorizations, end-user documentation, and governmental approvals from the United States, the country of manufacture, the United Arab Emirates, and each jurisdiction of end use. VisionWave must also complete a compliance review covering sanctions, anti-money-laundering, anti-bribery, export-control, beneficial-ownership, and end-user standards to its satisfaction. No production or delivery milestones will begin to run until the last of these conditions is satisfied or waived.

Upon satisfaction or waiver of these conditions, the delivery schedule envisions three installments over a three-year period. The first installment comprises 70 vehicles due within the first 12 months. A second group of 70 vehicles is scheduled for delivery during months 13 through 24. The final 60 vehicles are to be delivered between months 25 and 36. These timelines are measured from the date the final condition is satisfied or waived, not from the date of the purchase order. The remaining balance of the $20 million is payable against production, inspection, acceptance, and delivery milestones for each batch.

Douglas Davis, Chief Executive Officer of VisionWave, described the order as an important commercial validation for the STRATUM VARAN platform. He noted that the company is working with the customer to satisfy the funding, security, and regulatory conditions required before production can begin. Davis stated that the company intends to report on progress as it develops. The STRATUM VARAN platform has not yet completed the demonstration, qualification, or acceptance testing required by the purchase order. Its final configuration and technical characteristics will be established in a technical annex to be agreed upon following that demonstration.

Investors were advised not to regard the aggregate order value as a firm order or an indication of expected revenue in any specific period. Revenue will only be recognized as applicable performance obligations are satisfied. The company filed a Current Report on Form 8-K with the Securities and Exchange Commission on September 24, 2026, providing additional details regarding this material definitive agreement.
