UGI Corporation (NYSE: UGI) filed a Form 8-K on October 16, 2026, disclosing that its subsidiary UGI Energy Services, LLC entered into Amendment No. 27 to its Receivables Purchase Agreement. The amendment extends the facility termination date from October 16, 2026, to October 15, 2027. The revised agreement involves UGI Energy Services, LLC acting as the servicer, Energy Services Funding Corporation as the seller, PNC Bank, National Association serving as both issuer and administrator, and PNC Capital Markets LLC as the structuring agent.
The Receivables Purchase Agreement, originally dated November 30, 2001, allows UGI Energy Services, LLC to transfer trade accounts receivable to Energy Services Funding Corporation on an ongoing, without-recourse basis. Energy Services Funding Corporation may then sell an undivided interest in these receivables to PNC Bank. The obligations under the agreement are secured by all receivables in the pool, related security, collections, and lock-box accounts. While the scheduled termination date is now October 15, 2027, the agreement may terminate earlier if a termination event occurs.
The filing notes that PNC or its affiliates have previously made loans to UGI Corporation or its affiliates and provided fee-based financial services. PNC affiliates have also offered investment banking and advisory services for customary compensation. The amendment includes customary indemnifications, representations, warranties, and covenants for the parties involved. Termination events under the related Purchase and Sale Agreement include nonpayment of amounts due, incorrect representations or warranties, covenant failures, ratio limitations regarding receivables, or a change of control of UGI Energy Services, LLC or Energy Services Funding Corporation.
Jessica A. Milner, Secretary of UGI Corporation, signed the report on October 22, 2026. The full text of Amendment No. 27 is filed as Exhibit 10.1 to the Form 8-K.
