Starz Entertainment Corp. disclosed on October 20, 2026, that its Chief Financial Officer, Scott Macdonald, entered into a new employment agreement with Starz Entertainment, LLC. The company filed a Form 8-K with the U.S. Securities and Exchange Commission to report the compensatory arrangements associated with the deal. Macdonald, who has served as CFO since July 2012, will continue in his current role under the new terms.
The agreement runs from October 1, 2026, through September 30, 2028. Starz retains the right to extend the term by one year, through September 30, 2029, if it provides notice in accordance with the contract. Under the deal, Macdonald will receive an annual base salary of $1,060,000. He is also eligible for an annual bonus with a target opportunity set at 125% of his base salary. This bonus is contingent on meeting performance criteria and goals determined by the Compensation & Talent Committee of the Board of Directors.
The contract outlines specific provisions for equity compensation and severance. During the term of the agreement, Starz will request that the Compensation Committee approve annual equity awards following each award cycle. The target grant date value for these awards is set at 70% of Macdonald's base salary at that time. The awards may include time-based restricted share units, performance-based restricted share units, stock options, or other equity instruments as decided by the committee. Unless the committee directs otherwise, time-based awards vest ratably over three years, while performance-based awards vest ratably over three years based on achieving established performance goals.
Severance protections are included in the agreement for qualifying terminations. If Macdonald's employment is terminated under qualifying conditions during the term, and he executes a release of claims and complies with post-employment obligations, he is entitled to cash severance equal to 18 months of his then-current base salary. He will also receive payment of COBRA premiums for up to 18 months. In the event of a change in control followed by a qualifying termination within six months, certain unvested equity awards scheduled to vest within the next 12 months will accelerate and vest based on actual performance.
The agreement also includes restrictive covenants requiring confidentiality and prohibiting the solicitation of company employees for 12 months following termination. The full text of the employment agreement is attached as Exhibit 10.1 to the Form 8-K filing. The document was signed by Jim Kapenstein, Starz Entertainment Corp.'s Chief Legal and Strategy Officer, on October 23, 2026.
