Solsence, Inc. (NASDAQ: SLSN) received a written notice from the Listing Qualifications Department of Nasdaq Stock Market on September 29, 2026, indicating the company is no longer in compliance with the $1.00 Minimum Bid Price requirement for continued listing on The Nasdaq Capital Market. The notice cites that the closing bid price for Solsence common stock fell below $1.00 per share for 30 consecutive trading days, violating Nasdaq Listing Rule 5550(a)(2). This development places the company in a position where it must act to maintain its exchange status, a process that carries significant uncertainty for holders of the stock.

The notice does not have an immediate effect on the listing of Solsence common stock on The Nasdaq Capital Market, nor does it alter the company's reporting requirements with the Securities and Exchange Commission. Under Nasdaq Marketplace Rule 5810(c)(3)(A), Solsence has been granted a compliance period of 180 calendar days, ending on March 29, 2027, to regain compliance with the bid price requirement. To meet this deadline, the closing bid price of the common stock must reach or exceed $1.00 per share for a minimum of 10 consecutive trading days before March 29, 2027.

If the company fails to regain compliance by the end of this initial period, it may be eligible for an additional grace period. Qualification for this extension requires that, as of the final day of the initial compliance period, the company meets the applicable market value of publicly held shares requirement and all other initial listing standards for the Capital Market, excluding the bid price requirement. The company must also notify Nasdaq of its intent to cure the deficiency. If these conditions are met, Nasdaq staff is expected to grant an additional 180 calendar days to regain compliance with the bid price requirement.

Solsence stated in its Form 8-K filing that it is currently evaluating various courses of action to regain compliance. The company noted that there can be no assurance it will achieve compliance during the 180-day period ending March 29, 2027, secure an extension beyond that date, or maintain compliance with other Nasdaq listing requirements. The filing warns that non-compliance or a potential delisting would materially and adversely affect the company's ability to raise capital and its financial condition and business. Laura Riffner, Chief Financial Officer of Solsence, signed the report on October 2, 2026.
