RingCentral, Inc. has established October 9, 2026, as the deadline for stockholders to submit proposals and director nominations for the company's upcoming annual meeting. The filing, submitted to the U.S. Securities and Exchange Commission on September 28, 2026, clarifies the procedural requirements for shareholders seeking to place items on the agenda for the November 2, 2026, meeting.

The board of directors scheduled the 2026 Annual Meeting of Stockholders for November 2, 2026, at 8:00 a.m. Pacific time. Because this date falls more than 30 days prior to the anniversary of the previous annual meeting, the company adjusted the deadlines for stockholder proposals under Rule 14a-8 and nominations outside that rule. RingCentral determined that proposals for inclusion in the proxy statement must be received at its principal executive offices before 11:59 p.m. Pacific time on October 9, 2026.

Similarly, stockholder proposals made outside of Rule 14a-8 or nominations of candidates for director must be received by the same October 9, 2026, deadline to be considered timely under Rule 14a-4(c) of the Exchange Act. These submissions must also comply with the company's bylaws and, if applicable, Rule 14a-19. Shareholders are instructed to send all proposals and nominations to the Corporate Secretary at RingCentral's headquarters at 20 Davis Drive, Belmont, California 94002, or via email to [email protected].

The filing was signed by John Marlow, Chief Administrative Officer of RingCentral. The company's Class A Common Stock trades on the New York Stock Exchange under the ticker symbol RNG.
