Moleculin Biotech, Inc. (Nasdaq: MBRX) filed an amendment to its certificate of incorporation with the Delaware Secretary of State to implement a 1-for-20 reverse stock split. The company announced the filing on October 16, 2026, stating the action will take effect at 12:01 a.m. Eastern Time on October 20, 2026.
Under the terms of the amendment, every 20 shares of common stock issued and outstanding prior to the opening of trading on October 20, 2026 will be consolidated into one share. The nominal par value per share will remain unchanged at $0.001. Moleculin’s common stock will open trading on The Nasdaq Capital Market on October 20, 2026, reflecting the new share count. While the ticker symbol remains MBRX, the CUSIP number will change to 60855D 507.
The reverse split is expected to reduce the company’s outstanding share count from approximately 20.9 million shares to approximately 1.05 million shares. The total number of authorized shares of common stock will remain at 500 million. Shareholders who would otherwise receive fractional shares due to the split ratio will instead receive a cash payment in lieu of those fractions.
Moleculin is a Phase 3 clinical stage pharmaceutical company focused on therapeutic candidates for hard-to-treat tumors and viruses. Its lead program, Annamycin (naxtarubicin), is an anthracycline designed to avoid multidrug resistance and cardiotoxicity associated with currently prescribed agents. The drug is in development for relapsed or refractory acute myeloid leukemia (AML) and soft tissue sarcoma (STS) lung metastases.
The company is currently conducting the MIRACLE Trial (MB-108), a pivotal Phase 2/3 study evaluating Annamycin in combination with cytarabine for AML. Moleculin stated that following a successful Phase 1B/2 study (MB-106) and input from the FDA, it believes the development pathway toward potential approval for AML has been substantially de-risked, though this remains subject to future filings and feedback from regulatory authorities.
The pipeline also includes WP1066, an immune and transcription modulator targeting brain tumors and pancreatic cancers, and WP1122, an antimetabolite for pathogenic viruses and certain cancer indications. In its forward-looking statements, Moleculin noted that it requires significant additional financing to conduct its clinical trials and that it currently has no commitments for such funding. The milestones described in the release assume the company’s ability to secure this financing on a timely basis.
