With 7,758,777 shares voting against and 86,826,318 in favor, McKesson Corporation (MCK) Chief Executive Brian S. Tyler posted the highest opposition total among the 11 director nominees elected at the company's July 22, 2026 annual meeting. Shareholders also ratified Deloitte & Touche LLP as auditor for the fiscal year ending March 31, 2027 and passed an advisory say-on-pay vote the same day.

Board vote breakdown

Maria N. Martinez drew the second-highest against count at 5,963,501 to 88,547,303 in favor. Kevin M. Ozan received 2,675,298 against and 91,836,243 for. Bradley E. Lerman's tally was 1,557,363 against to 92,956,921 for. W. Roy Dunbar drew 1,474,974 against to 92,974,900 for. Dominic J. Caruso received 1,284,036 against to 93,233,995 for.

The five remaining nominees each drew fewer than 550,000 against votes. Deborah Dunsire, M.D. posted the lowest opposition at 369,566, with 94,179,181 in favor. Lynne M. Doughtie received 392,742 against to 94,126,115 for. James H. Hinton drew 408,275 against to 94,097,106 for. Kathleen Wilson-Thompson received 434,360 against to 94,095,670 for. Julie L. Gerberding, M.D., M.P.H. drew 516,590 against to 94,024,412 for. Broker non-votes held at 10,458,484 across every director seat.

Auditor ratification

Shareholders voted 95,066,170 for and 9,872,183 against to keep Deloitte & Touche LLP as independent registered public accounting firm for the fiscal year ending March 31, 2027. Abstentions came to 220,882. No broker non-votes were recorded on this item, and abstentions counted against under the applicable voting standard.

Say-on-pay and what to watch
