IonQ (IONQ) announced it will acquire Elisity in an all-stock transaction valued at up to $1.3 billion. The news triggered a 9.1% drop in the stock on October 12, contributing to a 19.8% decline for the week ending October 13, 2026. Peer Rigetti Computing fell 15.8% during the same period, while the S&P 500 slipped 0.2%.

The acquisition represents approximately one-tenth of IonQ’s $12.7 billion market value as of October 13. Investors may view the newly issued shares as a cost to existing owners, particularly given the company’s history of equity expansion. IonQ’s share count climbed 82.5% over the past three years. Management noted on an August 5, 2026 call that the company’s $1.8 billion purchase of quantum foundry SkyWater was mostly a stock swap. The Elisity agreement will further dilute existing shareholders, as each IonQ share already represents a smaller slice of the company.

IonQ is acquiring Elisity’s enterprise Zero Trust technology platform to integrate with its own post-quantum cryptography and quantum key distribution tools. This move aligns with management’s August statement that the company is seeing high demand for both quantum computing and quantum security. The companies did not disclose Elisity’s revenue, leaving owners unable to determine whether the business will earn back the newly issued shares. Up to $150 million of the total purchase price comes as performance-based earnouts, meaning a portion of the cost depends on Elisity’s future performance.

The acquisition does not alter IonQ’s underlying business trajectory. Second-quarter revenue reached $80.1 million, with organic revenue growing 132% from a year earlier. Management raised its 2026 revenue guidance for IonQ alone, excluding SkyWater, to $280 million to $290 million. Despite this growth, the company recorded an operating margin of minus 408.2% over the past twelve months, compared to 18.5% for the S&P 500. The stock trades at 51.8 times sales, far above the S&P 500 multiple of 3.1 times.

IonQ ended the second quarter with $485 million of contracted revenue still to deliver, up from $122 million a year earlier. That contracted revenue and any future revenue figures provided for Elisity are the key metrics for assessing the deal's impact.
