eBay Inc. disclosed a restructuring plan on October 20, 2026, that includes a reduction of its current global workforce by approximately 9%. In the same filing, the company confirmed it expects to report financial results for the quarter ended September 30, 2026, above the guidance ranges provided in its August 2026 earnings announcement.

The plan, detailed in a Form 8-K filed with the U.S. Securities and Exchange Commission, is intended to align teams and resources with top strategic priorities to drive long-term sustainable growth. eBay estimates it will incur GAAP pre-tax charges in the range of $130 million to $150 million in connection with the plan. Substantially all of these costs are expected to be related to severance payments and post-employment benefits, and the full amount will result in future cash expenditures.

The majority of the charges will be recognized as incurred during the fourth quarter of 2026. The company expects the employee restructuring actions to be substantially complete by the end of the first quarter of 2027, subject to local laws, consultation requirements in certain countries, and business needs. Decisions regarding position eliminations remain contingent on these legal and operational factors.

eBay stated that expense savings resulting from the plan will be used to further its strategic and operating initiatives. The company noted that it may incur other charges or cash expenditures not currently contemplated due to unanticipated events during implementation.

The filing was signed on October 22, 2026, by Samantha Wellington, Senior Vice President, Chief Legal Officer and Secretary. The information furnished in Item 2.02 is not deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 and is not incorporated by reference into any Securities Act filing unless expressly stated otherwise.

The report includes forward-looking statements regarding expected financial results for the third quarter and full year 2026, the benefits and timing of the restructuring plan, and the magnitude of associated costs. These statements are subject to risks and uncertainties, including the possibility that restructuring costs may exceed expectations or that the efforts may distract management and impact revenue or operations.
