Dragonfly Energy Holdings Corp. (DFLI) has secured an extension from The Nasdaq Stock Market LLC to resolve a listing deficiency, allowing the company until December 31, 2026, to regain compliance with minimum stockholders' equity standards.
The company disclosed in a Form 8-K filed on October 23, 2026, that the Nasdaq Listing Qualifications Department granted this extension following a review of a compliance plan submitted by Dragonfly Energy on October 5, 2026. The extension specifically addresses the company's failure to meet the minimum stockholders' equity requirement under Listing Rule 5550(b)(1).
The initial non-compliance notice arrived on August 20, 2026. At that time, Nasdaq indicated that Dragonfly Energy's stockholders' equity deficit was below the required minimum of $2.5 million for continued listing on the Nasdaq Capital Market, as reported in the company's Quarterly Report on Form 10-Q for the period ended June 30, 2026. Furthermore, the company did not meet alternative compliance standards requiring either a $35 million market value for listed securities or $500,000 in net income from continuing operations over the most recent fiscal year or two of the last three fiscal years.
To maintain its listing status, Dragonfly Energy must furnish a publicly available report to the Securities and Exchange Commission and Nasdaq on or before December 31, 2026. This report must evidence compliance with the minimum stockholders' equity requirement. If the company fails to evidence compliance upon filing its subsequent periodic report for the period ending December 31, 2026, it may be subject to delisting.
In the event that Dragonfly Energy does not satisfy the terms of the extension, the Nasdaq staff will provide written notification that the company's securities will be delisted. At that stage, the company retains the right to appeal the staff's determination to a Nasdaq hearings panel. The Form 8-K was signed by Denis Phares, who serves as Chief Executive Officer, Interim Chief Financial Officer and President of Dragonfly Energy Holdings Corp.
