Capstone Holding Corp. (NASDAQ: CAPS) will implement a 1-for-30 reverse stock split effective at the opening of trading on October 19, 2026, a move the company described as previously approved by its stockholders. The national, technology-enabled building products distribution platform announced the specific ratio and timing on October 15, 2026.
Stockholders authorized the reverse split during the company's annual meeting on June 18, 2026, granting the Board of Directors discretion to set the exact ratio anywhere between 1-for-5 and 1-for-50 within twelve months of approval. The Board subsequently selected the 1-for-30 ratio for execution.
Following the implementation of the reverse split, every 30 shares of issued and outstanding common stock will be combined and converted into one share. This consolidation is expected to reduce the number of outstanding common shares from approximately 27,536,950, as recorded on October 8, 2026, to approximately 917,898. The company stated that no fractional shares will be issued; instead, holders entitled to fractional shares will receive cash in lieu based on the closing price on the effective date.
Computershare Trust Company, N.A. will serve as the exchange agent for the transaction and will provide stockholders with statements reflecting their post-split holdings. The company's common stock will continue to trade under the Nasdaq ticker symbol CAPS, though it will be assigned a new CUSIP number, 14068E307.
The reverse split will not alter the number of authorized shares or the par value of the common stock, nor will it modify any rights or preferences associated with the shares. The company noted that adjustments will be made to the exercise and conversion prices, as well as the number of shares underlying outstanding equity awards, warrants, and its senior secured convertible note, in accordance with the terms of the applicable securities and plans. Shares issued pursuant to the reverse split will remain fully paid and non-assessable.
