Bold Eagle Acquisition Corp. (BEAG) shareholders approved an amendment to extend the deadline for completing an initial business combination from October 25, 2026, to June 25, 2027. The company filed a Form 8-K on October 20, 2026, reporting that the proposal received 20,448,699 votes in favor and 497,774 against at the extraordinary general meeting.

Following the vote, the company entered into non-redemption agreements with several unaffiliated third-party shareholders. Under these agreements, investors agreed to reverse their prior exercise of redemption rights in connection with the extension. In exchange, Bold Eagle agreed to make monthly cash deposits totaling $134,507 into an escrow account for the benefit of these investors. The sponsor, Eagle Equity Partners IV, LLC, agreed to advance the funds necessary for these deposits.

The escrow funds will be released to the investors on the earliest of the closing date of the company's initial business combination, the date of liquidation, or June 25, 2027. Bold Eagle is responsible for paying all fees associated with the escrow agent, Continental Stock Transfer and Trust Company. The company also agreed not to make any permitted withdrawals from its trust account for working capital purposes after the date of the non-redemption agreements.

Prior to the extension vote, shareholders holding an aggregate of 15,397,025 Class A shares exercised their right to redeem their shares at approximately $10.70 per share. After satisfying these redemptions, approximately $111,311,833 in cash remained in the company's trust account. The non-redemption agreements are expected to increase the amount of funds remaining in the trust account relative to what would have remained without these agreements.

On October 23, 2026, the sponsor irrevocably exercised its right to convert an aggregate of 5,159,999 Class B shares into Class A ordinary shares. This conversion was not registered under the Securities Act of 1934, relying instead on the exemption provided by Section 3(a)(9). The amendment to the company's articles took effect immediately upon shareholder approval under Cayman Islands law.
