BeyondSpring Inc. (BYSI) received a written notification from The Nasdaq Stock Market LLC on September 29, 2026, stating that the company no longer complies with the market value of listed securities requirement for continued listing. The notification cites the company's market value of listed securities falling below $35 million for the last 30 consecutive business days, a violation of Nasdaq Listing Rule 5550(b)(2). The company filed a Form 8-K with the U.S. Securities and Exchange Commission on October 2, 2026, to report this development. The notice does not result in the immediate delisting of BeyondSpring's ordinary shares, which trade on the Nasdaq Capital Market, nor does it have an immediate effect on the trading of its securities. Under Nasdaq Listing Rule 5810(c)(3)(C), BeyondSpring is granted a compliance period of 180 calendar days from the date of the notification letter, expiring on March 29, 2027, to regain compliance with the listing standard. During this period, the company's securities will continue to trade on Nasdaq. To close the matter before the deadline, BeyondSpring's market value of listed securities must close at $35 million or more for a minimum of ten consecutive business days, subject to Nasdaq Staff discretion to extend this period under Nasdaq Listing Rule 5810(c)(3)(H). If the company regains compliance during this window, Nasdaq will provide written confirmation and the matter will be closed. If BeyondSpring fails to regain compliance by March 29, 2027, Nasdaq will issue a written notification that its securities are subject to delisting. At that point, the company may appeal the delisting determination. The notification letter states that it does not affect BeyondSpring's business operations. The company is considering all available options to regain compliance with the listing rules within the prescribed period. However, the filing notes there can be no assurance that BeyondSpring will be able to regain compliance with the market value requirement or will otherwise remain in compliance with other Nasdaq listing criteria. Min Qiu, Chief Executive Officer of BeyondSpring Inc., signed the report on behalf of the registrant.
